The 30 September 2026 government order supersedes the July 2019 redevelopment GR and related circulars. Older online meeting templates may therefore misstate the procedure. This article is a practical companion to Member Consent in Maharashtra Society Redevelopment: Voting, Majority and Records, which explains the percentages in greater detail.
1. Check which redevelopment directions apply
The Cooperation Department's 30 September 2026 Government Order, issued under Section 79A of the Maharashtra Co-operative Societies Act, 1960, is identified by reference SGRYO-2026/C.R.108/14-S and government code 202609301657141847. It replaces the redevelopment GR of 4 July 2019 and circulars issued under it. The revised directions address developer-led redevelopment, self-redevelopment and group arrangements; the exact route affects which decisions and later tender steps apply.
For an actual meeting, the society's independent lawyer should verify the signed Marathi order, any subsequent corrections, the membership register, elected committee authority, society bye-laws and any project-specific court or Registrar direction. Do not use a 2019 meeting checklist without checking the 2026 order.
2. Before the meeting: 14-day notice and agenda checklist
The revised directions provide a process beginning with a written member application by at least one-fifth of members, with the committee recording the request within eight days and convening the preliminary SGBM within the prescribed two-month period. The 2026 order requires a redevelopment SGBM agenda to be sent to members at least 14 days in advance, with delivery acknowledgements retained.
The meeting notice should identify:
- the legal name and registration number of the society;
- meeting type, date, time, physical venue and proposed agenda;
- whether the agenda is preliminary redevelopment approval, PMC selection, tender approval or final developer selection;
- the documents available for inspection and how members may access them;
- eligibility and process for approved video-conference participation, if relevant;
- proof-of-identity expectations and membership verification;
- how written suggestions or objections may be submitted;
- the quorum and voting methodology, with the correct total-member denominator.
The notice should not surprise members with a substantive new resolution at the meeting. Keep the signed notice, delivery method, recipient list, proof of service and any corrections or reissued notice.
3. Work out quorum, approval and physical attendance separately
The reported 2026 procedure uses three separate checks for the relevant redevelopment SGBM: a quorum of two-thirds of total membership, affirmative votes of at least 51% of total membership, and at least 51% of all members physically present even when permitted remote attendance is used. Fractions are rounded up.
| Total members | Two-thirds quorum | 51% votes in favour | 51% in person |
|---|---|---|---|
| 40 | 27 | 21 | 21 |
| 75 | 50 | 39 | 39 |
| 100 | 67 | 51 | 51 |
| 125 | 84 | 64 | 64 |
| 150 | 100 | 77 | 77 |
Worked example: a 100-member society has 75 valid participants, including 55 physically present. It passes the quorum and physical-presence tests. But if only 49 vote yes, the resolution does not reach the 51-member approval threshold, regardless of whether 49 represents a majority of those who cast yes/no votes.
The two-thirds number describes quorum; it is not an alternative approval threshold. The 51% test refers to the full membership and is not satisfied by merely having 51% of attendees voting for the proposal.
4. Attendance and video conference: build an identity-based register
The 2026 order allows qualifying members—including certain overseas, seriously ill or disabled members and persons facing unavoidable inability to attend—to participate through video conference. Their participation may be counted subject to the order's conditions, but the separately reported 51% physical-attendance requirement remains important.
Maintain a register with separate columns for physical attendance, qualified remote attendance, identification document checked, membership number and time of admission. The society should verify eligibility for remote attendance before the meeting, not after an unfavourable result.
5. Keep the agenda limited to the decision members have been asked to consider
A preliminary SGBM can record whether members wish to pursue redevelopment, consider suggestions and select an architect/PMC on the process described by the order. It should not treat a preliminary vote as automatic authority to sign an uncirculated Development Agreement with an unexamined developer.
Use a distinct agenda item and resolution ID for each substantive matter. If the vote is for an architect/PMC, record the consultant's scope and approved appointment terms. If the vote is for tender approval, link to the final tender version. If it is for developer selection, attach the PMC comparison and the exact final commercial offer being approved.
6. Ten-step procedure for an auditable redevelopment SGBM
- Before proposing the SGBM.
Check the governing legal entity, registered member list, elected committee authority, the redevelopment route and any required structural/eligibility documents. Obtain the written requisition where the procedure is member-initiated. - Convene the committee.
Record the requisition, member suggestions, current membership denominator, proposed agenda and initial architect/PMC quotation plan. - Serve the 14-day notice.
Circulate the time, location, remote-participation process, agenda and supporting documents according to the 2026 directions; retain dated acknowledgements. - Prepare the meeting pack.
Include the constitution/bye-laws, title and building facts, available PMC/architect quotations and an independent statement of the question members are being asked to decide. - Check admission and quorum.
Match identification to membership records; distinguish valid physical attendance and eligible virtual attendance; count the two-thirds quorum and separately check the 51% physical minimum. - Present and discuss the proposal.
Let members raise suggestions and objections. Keep the meeting focused on the actual agenda, not on matters that require a subsequent developer-selection vote. - Take and certify the vote.
Record votes for, against and abstaining on the precise resolution, measured against total membership, not merely attendees. Do not count votes from absent members. - Collect supporting documents.
Preserve written consents of members voting in favour where the order requires them; keep the presentation, supporting reports and any recording in an auditable repository. - Issue minutes and perform follow-ups.
Circulate the signed minutes within the applicable timeframe, retain distribution evidence, appoint the architect/PMC through the agreed process, and log any required Registrar communications. - Hold later meetings separately.
Tender approval and final developer selection follow additional stages. The supervised selection SGBM includes the Registrar's authorised officer, the bid-comparison pack, identity verification, voting protocol, video record and post-meeting submissions.
7. Suggested SGBM notice structure
This is a content checklist, not an official prescribed form. A society should have its final notice reviewed against the signed 2026 order before issuing it.
| Notice section | Information to provide |
|---|---|
| Heading | Society's legal name, registration number, SGBM notice and issue date |
| Meeting information | Date, start time, exact venue and contact for accessibility issues |
| Purpose | One clearly stated redevelopment decision and any related consultant/tender items |
| Agenda | Meeting opening, quorum, presentation, discussion, proposed resolution, vote, result |
| Member participation | Member ID requirements, remote eligibility and advance verification mechanism |
| Documents | Where and when members can inspect reports, quotations or bids |
| Suggestions | Submission channel and deadline for written questions or observations |
| Certification | Secretary/authorised signatory and issue/service register reference |
8. Sample resolution structure: what the approved minute should establish
A good resolution records what was decided, by which membership count and who is authorised to carry it out. The following is an illustrative structure to customise with the society's lawyer:
Resolution heading: Preliminary decision on redevelopment of [society/property].
Basis: Notice dated [date], SGBM held at [place and time], total eligible members [N], valid attendance [physical + eligible remote], quorum threshold [X], and quorum verified [Yes/No].
Decision: After consideration of the proposals and member comments recorded in Annexure [A], the meeting resolved [to proceed / not to proceed] with the preliminary redevelopment process in accordance with the applicable law and Government Order.
Voting: For [number], against [number], abstained [number], invalid/excluded [number with reasons]. Required affirmative threshold [number]. Result [passed/not passed].
Implementation authority: Committee/Secretary authorised only for the specified next steps, such as procuring/appointing the architect or PMC on approved terms and arranging subsequent reports/meetings.
Annexures: Notice and service evidence; locked member register; attendance; vote register; supporting reports; objections; written consents where required; and signed minutes.
Do not include language purporting to waive statutory member rights or pre-authorise physical possession solely through the preliminary SGBM.
9. Detailed minutes checklist: what to record before everyone leaves
- Society registration details, meeting date/time, exact venue and chairperson.
- Meeting type and relevant stage of the redevelopment process.
- Notice issue date, service methods and service-acknowledgement record.
- Total-membership count and the date/version of the membership snapshot used.
- Number and names/membership IDs of members physically attending.
- Number and identities of qualifying video-conference attendees and verification method.
- Required two-thirds quorum and actual counted quorum, with calculation.
- Required physical-attendance minimum and actual physical count.
- List of PMC/architect, Registrar officer or developer attendees, as applicable.
- All documents circulated or presented, identified by date/version.
- Summary of material questions, suggestions, objections and responses.
- Exact wording of each resolution placed before the meeting.
- Voting method and any properly requested secret-ballot arrangements.
- Votes for, against and abstaining plus excluded/invalid votes and reasons.
- Required 51% affirmative threshold, result and certification.
- Written-support/consent evidence required after the vote.
- Any adjournment, disruption or loss of connection and how it was handled.
- Audio/video recording reference and custody where required.
- Next action, owner, deadline and notice/circulation responsibility.
- Signatures of chair/secretary and annexure list.
10. Developer-selection SGBM: extra procedural safeguards
The later developer-selection SGBM is not simply a replay of the first vote. Paragraph 12 of the September 2026 order provides additional steps surrounding the Registrar's authorised officer and tender comparison.
Before convening it, the society should prepare and submit the required proposal to the Registrar, including relevant SGBM minutes, member list, PMC project report, tender information and comparison chart. The Registrar's authorised officer is appointed through the prescribed process, and the later meeting is arranged and notified with the comparative tender information.
At this stage:
- the Registrar's authorised officer should be present and verify the relevant process;
- member identification should be checked against the member register and supporting documents;
- developer representatives may attend as authorised under the procedure;
- the tender comparison, financial and technical factors and final terms should be discussed;
- questions and dissent should be recorded;
- the meeting should be video-recorded, with copies retained as required;
- voting should follow the order, including its secret-ballot mechanism where properly invoked;
- written approvals and prescribed minutes/attendance/developer-consent documents should be submitted after the meeting.
The order provides for prescribed post-selection filings within 14 days. Keep the submission receipt and the Registrar's relevant record or communication; do not describe it as proof that every other planning or RERA approval exists.
11. After the SGBM: a 14-day and 30-day control checklist
Deadlines vary according to the meeting stage. For developer selection, the September 2026 procedure describes filings to the Registrar within 14 days. For the initial process it separately describes a 30-day period for the appointment letter to the selected architect/PMC after the preliminary SGBM. Do not apply these timeframes interchangeably.
| Follow-up | Record to retain |
|---|---|
| Signed minutes | Approved final version, signature and date |
| Member circulation | Delivery list and acknowledgements |
| Written consents | Signed forms from members who voted in favour where required |
| PMC appointment | Appointment letter, scope, fee and written agreement |
| Registrar filing | Required minutes, attendance, consents, developer consent, officer report and recording as applicable |
| Project record | Indexed copies of notice, versions, reports, votes, video and annexures |
| Outstanding objections | Response owner, deadline and documentary outcome |
12. Common mistakes that weaken a redevelopment resolution
- calculating 51% against attendees rather than total membership;
- treating two-thirds quorum as the number of yes votes required;
- counting an absent member's emailed approval as a meeting vote;
- ignoring the separate physical-attendance condition when using video conferencing;
- using an outdated 2019 notice or developer-selection template;
- having an ineligible committee or administrator purport to make the decision;
- conducting developer selection without the Registrar's authorised officer;
- failing to preserve member identification, objections, vote tally and meeting recording;
- attaching an unsigned or older bid comparison rather than the approved version;
- trying to authorise vacating or waiver of individual rights through a generic majority resolution.
13. Use a redevelopment portal as the record—not as the legal decision-maker
A redevelopment record management system can connect the notice, agenda, membership snapshot, attendance, resolutions, minutes, consent letters, tender documents, Registrar communications and milestone reports. Access can be separated for members, committee, PMC, developers and legal advisers, with personal documents restricted appropriately.
An AI assistant can help an authorised member retrieve the exact resolution, the latest PMC report or a particular document clause, but it should point back to the underlying evidence rather than declare a disputed vote legally valid.
Make redevelopment meeting records accessible and traceable
Rudh Systems provides controlled member access to meeting notices, minutes, consent records, PMC reports, developer bids, approval documents and project updates, with secure roles and AI-assisted document retrieval.
Frequently asked questions
What is an SGBM for redevelopment?
A Special General Body Meeting convened for a defined redevelopment decision such as preliminary approval, architect/PMC appointment, tender approval or developer selection. Each decision must be distinguished and recorded against the applicable governing process.
How much notice must a society give for a redevelopment SGBM in Maharashtra?
The 30 September 2026 redevelopment order prescribes 14 days' prior notice for the relevant initial and developer-selection meetings, with agenda and prescribed documents. The notice and evidence of service should be retained; check the original signed order and society circumstances for the precise calculation.
What is the quorum for a redevelopment SGBM?
Two-thirds of total membership, rounding any fractional result up. For a 100-member society, that means at least 67 counted attendees, subject to the specific rules on physical and eligible virtual attendance.
How many votes are required to approve redevelopment?
At least 51% of the society's total membership. For 100 members, at least 51 must vote in favour; 51% of attendees is not enough. Count the valid meeting votes and keep written consent from members who voted in favour as required.
Can an absent member send a consent letter and be counted as voting?
The 2026 order says absent members' views or consent, however supplied, do not count as the meeting vote. Eligible remote participants may count when the order's conditions are satisfied. Keep written consent separately from the meeting-vote record.
Can an overseas member participate by video conference?
The revised directions allow specified qualifying remote participants, including members abroad, subject to identification and meeting rules. There is also a requirement for at least 51% of total members to be physically present, according to the order's detailed procedure.
What happens if two-thirds quorum is not met?
Under the published text of the 2026 redevelopment order, the meeting is adjourned and reconvened within a month on seven days' notice. If quorum fails again, the matter is not reintroduced for three months. Verify the exact steps and dates from the current order.
Is a Registrar's authorised officer necessary for every redevelopment SGBM?
The September 2026 order explicitly requires an authorised officer of the Registrar at the SGBM for selecting the developer or contractor. It is important not to confuse that supervised meeting with the initial meeting to decide whether to proceed.
Should developer selection be recorded on video?
Yes. The 2026 order details video recording of the developer-selection SGBM and copies kept with the society and Registrar. Preserve the recording securely, with access handled according to legal requirements and privacy safeguards.
What must redevelopment SGBM minutes include?
Meeting notice and service reference, member-register denominator, attendance by physical/eligible remote category, quorum calculation, exact agenda and resolution, bidder/PMC presentations where relevant, objections, vote method and totals, result, officer attendance for developer selection, chair/secretary certification and annexure register.
Can a majority vote itself authorise eviction or demolition?
No. A governance resolution does not replace individual title rights, executed agreements, approvals, court orders or the contractual conditions for vacating. Seek project-specific legal advice for disputes.
Does the 51% rule apply to an apartment owners' association or RWA?
Not automatically. This guide addresses Maharashtra cooperative housing societies. An apartment-ownership property or RWA may be governed by a different statute and registered instruments.
